No Cancellation: ALL PRODUCTS ARE CUSTOM MADE TO ORDER. Therefore, all accepted orders are non-cancellable. In the event full payment has not been made in advance, customer shall remain liable for any unpaid amount shown on the proforma invoice or sales confirmation. Please review product samples thoroughly prior to placing any order.

Limited Warranty: Liberty Global Group warrants that the products, at the time of delivery, shall conform in material and workmanship to the product sample provided to, and approved, by the customer. In the event of a warranty claim, the customer must comply with the following procedure to receive credit or replacement:

(1) All warranty claims must be in writing and delivered to Liberty Global Group within seven (7) business days after delivery.
(2) All defective products must be set aside for physical inspection or return.
(3) A Returned Merchandise Authorization ("RMA") must be obtained from Liberty Global Group.

Descriptions in the purchase invoice may use general trade terms and not show technical details. For quality standards, samples take precedence over descriptions in wording.  In the event an RMA is provided to the customer by Liberty Global Group, in its sole discretion, shall either inspect the products at the customer's location or instruct the customer to return all or some of the alleged defective products for inspection. Liberty Global Group shall notify the customer in writing, within seven (7) business days after such inspection whether the warranty claim is accepted or rejected. If accepted, Liberty Global Group, at its sole discretion, shall either replace the defective products or issue a credit memo to the customer. The amount of the credit shall be calculated by multiplying the number of defective products by the related invoice unit price. If Liberty Global Group elects to replace the defective products, Liberty Global Group shall be responsible for delivery costs via ocean freight only and shall also reimburse customer the shipping costs for the return of the defective products. Nothing in this Limited Warranty shall be deemed to allow customer to setoff warranty claims against payment for delivered products, without a signed credit memo from Liberty Global Group.

EXCEPT AS EXPRESSLY WARRANTED HEREIN, LIBERTY GLOBAL GROUP HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, APPLICABLE TO PRODUCTS, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY THAT ANY PRODUCT IS DELIVERED FREE OF CLAIMS OF THIRD PARTIES BY WAY OF INFRINGEMENT OR THE LIKE.

LIBERTY GLOBAL GROUP SPECIFICALLY DISCLAIMS ALL LIABILITY FOR ANY AND ALL DIRECT, INDIRECT, SPECIAL, GENERAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOST SALES, LOSS OF USE OF THE PRODUCT, OR ANTICIPATED PROFITS ARISING OUT OF USE OF OR INABLIITY TO USE ANY PRODUCT REGARDLESS OF WHETHER OR NOT LIBERTY GLOBAL GROUP WAS INFORMED BY CUSTOMER OF SUCH DAMAGES.

CREDIT OR REPLACEMENT, AS PROVIDED UNDER THIS WARRANTY, IS CUSTOMER'S SOLE AND EXCLUSIVE REMEDY FOR BREACH OF THE LIMITED WARRANTY.

Some states do not allow the exclusion or limitation of incidental or consequential damages, or allow limitations on how long an implied warranty lasts, so the above limitations or exclusions may not apply to you. This limited warranty gives you specific legal rights, and you may have other rights which vary from State to State.

Legal Compliance: Customer hereby warrants that all specifications, including, but not limited to designs and logistics, provided to Liberty Global Group comply with federal laws and the laws of the state(s) or territories in which the products will be sold.

Product Liability Insurance: Customers that provide Liberty Global Group with designs and logistics shall obtain product liability insurance and shall name Liberty Global Group as an additional insured on the policy.

Indemnification: Customer agrees to indemnify, defend, save and hold Liberty Global Group harmless from all claims, losses, expenses, demands, obligations, settlements, judgments, or liabilities (including reasonable attorneys' fees and costs) that Liberty Global Group may incur that arise from or relate to this order, including, without limitation, customer’s breach of the Legal Compliance warranty or failure to obtain product liability insurance, and regardless of whether such claims and liabilities accrue prior to or after the date of this order, excepting only such injury or harm as may be caused by Liberty Global Group's intentional torts.

Attorneys’ Fees: In the event legal proceedings are commenced to enforce or interpret the terms of this agreement, the prevailing party shall be entitled to recover attorneys' fees and expenses actually incurred, regardless of whether litigation is commenced or an action filed.

Governing Law: This agreement, as well as this transaction, shall be governed by the internal laws of the State of California. Any action to enforce or interpret the terms of this agreement shall be filed in any court of competent jurisdiction in Orange County, California.

Acknowledgement: By signing a P/I (proforma invoice or sales sonfirmation) prepared by Liberty Global Group, customer hereby acknowledges reviewing and agreeing to these Additional Terms to Purchase Order, including, without limitation, the Indemnification provision, Limitation of Liability, Cancelation Policy, Limited Warranty and insurance requirement.
